Terms of Service

In these Terms of Service, the following capitalized terms have the meanings set out below:

"Account" means the personal user account created and maintained by You to access the Service.

"Cenemai," "we," "us," "our" means Cenemai, an independent operator of the Service, and its owner in that capacity.

"Content" means all films, narrations, audio, video, images, artwork, thumbnails, metadata, descriptions, text, and other materials made available on or through the Service, whether uploaded by Creators, licensed to Cenemai, in the public domain, or produced by Cenemai.

"Creator" means a User approved by Cenemai to submit Content through Cenemai Studio and who has entered into the Creator Agreement.

"Free Tier" means the portion of the Service available without a paid Subscription, subject to the limitations described in these Terms.

"Premium" or "Subscription" means the paid subscription plan that unlocks the full catalogue and full-length viewing.

"Service" means the Cenemai website located at cenemai.com, its subdomains, applications, application programming interfaces, and any related services operated by Cenemai.

"User," "You," "Your" means any individual who accesses or uses the Service, whether as a visitor, Free Tier user, subscriber, or Creator.

These Terms of Service (the "Terms") form a legally binding agreement between You and Cenemai. By accessing, browsing, registering for, or otherwise using the Service, You confirm that You have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Refund & Cancellation Policy, and Copyright & Content Complaints Policy, each of which is incorporated by reference.

If You do not agree to any part of these Terms, You must not access or use the Service.

If You are entering into these Terms on behalf of another person or entity, You represent and warrant that You have the authority to bind that person or entity to these Terms, in which case "You" refers to that person or entity.

The Service is intended for Users who are at least thirteen (13) years of age. By using the Service, You represent and warrant that You are at least 13 years old.

If You are under the age of majority where You live, You may use the Service only with the involvement, consent, and supervision of a parent or legal guardian who agrees to be bound by these Terms on Your behalf and who accepts financial responsibility for any Subscription associated with Your Account.

Cenemai does not knowingly collect personal information from children under 13. If we become aware that a child under 13 has provided us with personal information, we will delete that information in accordance with our Privacy Policy.

You must not use the Service if You have previously been suspended or removed by Cenemai, or if You are barred from receiving services under any applicable law.

4.1 Registration. To access most features of the Service, including any Subscription, You must register for an Account and provide accurate, current, and complete information. You agree to keep Your Account information up to date at all times.

4.2 One Account per Person. Each individual may hold only one Account. Creating multiple Accounts, sharing an Account with other individuals or households, or transferring an Account to another person is prohibited and may result in suspension or termination.

4.3 Credentials. You are responsible for maintaining the confidentiality of Your login credentials, including Your password and any authentication tokens. You must not disclose Your credentials to any third party.

4.4 Responsibility for Activity. You are solely responsible for all activity that occurs under Your Account, whether or not authorized by You, and You agree to notify Cenemai immediately at support@cenemai.com of any actual or suspected unauthorized use of Your Account or breach of security.

4.5 Accuracy. Providing false, misleading, or fraudulent information in connection with Your Account, including using another person's name, email address, or payment method without authorization, is a material breach of these Terms.

Cenemai provides an online streaming platform through which Users may discover and watch hand-picked films that have been narrated start-to-finish, along with additional editorial content, curated lists, and other features that Cenemai may add or remove over time.

The Service is delivered exclusively via streaming over the internet. No Content is made available for download, offline playback, or permanent storage on Your device except as expressly enabled by Cenemai within the Service.

Cenemai may, at any time and without prior notice, add, modify, suspend, or remove any Content, feature, or functionality of the Service. Cenemai does not guarantee that any particular film or piece of Content will be available at any given time or for any minimum period.

The Service, including the availability of specific titles, may vary by geographic region due to licensing, regulatory, or technical constraints.

6.1 Price. Premium is billed at $7.99 per month, plus any applicable taxes. Prices are displayed at checkout in the currency applied by Your payment method or payment processor, and may be converted from a base currency at the rate then in effect.

6.2 Automatic Renewal. Premium is a recurring monthly Subscription that automatically renews at the end of each billing period until cancelled by You. By subscribing, You authorize Cenemai and its payment processors to charge Your chosen payment method the applicable subscription fee, plus taxes, at the beginning of each billing period without further authorization from You, until You cancel.

6.3 Cancellation. You may cancel Your Subscription at any time through the Account section of the Service. Cancellation becomes effective at the end of the current billing period. You will continue to have access to Premium features until the end of that period. Cenemai does not provide partial-month or pro-rated refunds. Full details are set out in the Refund & Cancellation Policy.

6.4 Price Changes. Cenemai may change subscription fees from time to time. Any change to the recurring fee applicable to Your Subscription will be communicated to You at the email address associated with Your Account at least thirty (30) days before the change takes effect. If You do not agree to the change, You may cancel Your Subscription before it takes effect. Continued use of Premium after a price change becomes effective constitutes acceptance of the new fee.

6.5 Failed Payments. If a scheduled payment fails, Cenemai may retry the charge, suspend Premium access, and/or downgrade Your Account to the Free Tier until the payment is completed. You are responsible for any fees imposed by Your financial institution.

6.6 Taxes. Fees are exclusive of applicable taxes, which will be added at checkout where required by law. You are responsible for any taxes, duties, or governmental charges imposed on Your use of the Service other than taxes based on Cenemai's net income.

The Free Tier allows Users to sample the Service without payment. Free Tier access is limited in scope and may include, without limitation: playback restricted to a short preview portion of each film; a limited number of films per day or per month; interstitial promotions of the Premium plan; and reduced quality or feature availability.

Cenemai may change the scope, availability, or limitations of the Free Tier at any time without prior notice. The Free Tier is offered on an "as available" basis and may be suspended or discontinued in whole or in part.

You do not need to cancel the Free Tier; simply stop using the Service. If You have never activated Premium, You will not be billed.

Payments for Premium are processed by third-party payment processors, currently Stripe, Inc. and PayPal Holdings, Inc. Cenemai does not collect, receive, or store Your full payment card number, bank account details, or similar sensitive payment credentials. Those credentials are collected and stored by the payment processor in accordance with its own terms and privacy policies.

By providing payment information to a payment processor, You agree to that processor's terms of service and privacy policy in addition to these Terms. You represent and warrant that You are authorized to use the payment method You provide.

Cenemai receives limited information from its payment processors, such as billing country, last four digits of a card, and transaction status, for the purposes of providing the Service, preventing fraud, and complying with legal obligations.

You agree that You will not, and will not attempt to, and will not permit any third party to:

(a) scrape, crawl, spider, harvest, or otherwise systematically extract data or Content from the Service, whether manually or through the use of automated tools, bots, or scripts;

(b) download, save, cache beyond ordinary browser caching, capture, record, screen-record, re-encode, rebroadcast, or otherwise reproduce any Content in whole or in part;

(c) circumvent, disable, or otherwise interfere with any paywall, digital rights management, access control, watermark, security feature, rate limit, or other technical measure of the Service;

(d) share, sell, sublicense, rent, lease, or otherwise transfer Your Account, Your credentials, or any Content or feature of the Service to any other person;

(e) resell, redistribute, publicly perform, publicly display, or commercially exploit the Service or any Content;

(f) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any component thereof, except to the extent this restriction is expressly prohibited by applicable law;

(g) upload, transmit, or otherwise introduce any virus, worm, trojan horse, malicious code, or other harmful component to the Service;

(h) probe, scan, or test the vulnerability of the Service or any related system or network, or breach or circumvent any security or authentication measure;

(i) impersonate any person or entity, or misrepresent Your affiliation with any person or entity;

(j) use the Service to harass, threaten, defame, or otherwise harm any other person;

(k) use the Service in violation of any applicable law, regulation, or third-party right; or

(l) interfere with or disrupt the integrity, performance, or availability of the Service or the data contained therein.

Violation of this Section 9 is a material breach of these Terms and may result in immediate suspension or termination of Your Account, in addition to any other remedies available to Cenemai at law or in equity.

Subject to Your continued compliance with these Terms and, where applicable, the timely payment of subscription fees, Cenemai grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to stream and view Content solely through the authorized playback interfaces of the Service, solely for Your personal, non-commercial entertainment, and solely for the duration of Your active Account or Subscription.

All rights not expressly granted to You are reserved by Cenemai and its licensors. Nothing in these Terms transfers ownership of, or any intellectual property right in, any Content or any part of the Service to You.

The license granted in this Section terminates automatically upon the termination of Your Account, the discontinuation of the Service, or the removal of the applicable Content from the Service, whichever occurs first.

The Service, including but not limited to its software, source code, design, "look and feel," logos, trademarks, service marks, trade names, graphics, layout, text, user interfaces, and all associated intellectual property rights, is and shall remain the exclusive property of Cenemai and its licensors.

All Content available through the Service is protected by copyright, trademark, and other intellectual property laws. Content is either owned by Cenemai, licensed to Cenemai by the applicable rights holder, or in the public domain and re-narrated or curated by Cenemai or its Creators.

The Cenemai name, logo, and any other product or service names, logos, or slogans that appear on the Service are trademarks of Cenemai and may not be copied, imitated, or used, in whole or in part, without Cenemai's prior written permission.

You must not remove, obscure, or alter any copyright notice, trademark, watermark, or other proprietary rights notice contained in or on any Content or the Service.

Certain Users may submit Content through Cenemai Studio pursuant to the Creator Agreement. All User-submitted Content is subject to the Creator Agreement, the Copyright & Content Complaints Policy, and these Terms.

Cenemai does not endorse any User-submitted Content and is not responsible for the accuracy, completeness, safety, legality, or usefulness of any such Content. Cenemai reserves the right, but has no obligation, to review, monitor, edit, or remove any User-submitted Content at any time and for any reason, including alleged infringement or violation of these Terms.

In addition to the Acceptable Use restrictions in Section 9, You agree not to use the Service to:

(a) post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable;

(b) engage in any conduct that could reasonably be expected to harm, disable, overburden, or impair the Service;

(c) collect or store personal data about other Users without their express consent;

(d) submit fraudulent chargebacks, engage in payment fraud, or use stolen payment credentials;

(e) engage in referral fraud, including self-referrals, incentivized referrals prohibited by Cenemai, or artificial inflation of Creator referral metrics; or

(f) attempt to gain unauthorized access to any Account, computer system, or network connected to the Service.

14.1 Termination by You. You may terminate Your Account at any time by cancelling any active Subscription and requesting Account deletion at support@cenemai.com.

14.2 Termination for Breach. Cenemai may suspend or terminate Your Account, Your access to the Service, or Your Subscription, in whole or in part, immediately and without prior notice, if Cenemai reasonably believes You have breached these Terms, the Creator Agreement, or any other policy incorporated by reference, or if required to comply with applicable law or a lawful order.

14.3 Termination for Convenience. Cenemai may terminate or suspend Your Account or the Service (in whole or in part) at any time for its convenience upon thirty (30) days' written notice to the email address associated with Your Account. In such case, Cenemai will refund the pro-rated portion of any prepaid Subscription fees for the period after termination, unless termination was for cause under Section 14.2.

14.4 Effect of Termination. Upon termination, Your right to access and use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 10 (License), 11 (Intellectual Property), 15 (Disclaimers), 16 (Limitation of Liability), 17 (Indemnification), 18 (Dispute Resolution), and this Section 14.4.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

CENEMAI, ITS OWNER, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, CENEMAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT ANY PARTICULAR CONTENT WILL REMAIN AVAILABLE; OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent that such exclusions are not permitted in Your jurisdiction, the excluded warranties are limited to the minimum scope and duration required by applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CENEMAI, ITS OWNER, EMPLOYEES, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF CENEMAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, CENEMAI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO CENEMAI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. To the extent such limitations are not permitted in Your jurisdiction, Cenemai's liability is limited to the minimum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Cenemai, its owner, employees, contractors, licensors, and service providers from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, penalties, interest, and expenses, including reasonable legal fees, arising out of or relating to: (a) Your access to or use of the Service; (b) Your breach or alleged breach of these Terms or any other policy incorporated by reference; (c) Your violation of any applicable law or regulation; (d) Your violation of any third-party right, including any intellectual property, publicity, or privacy right; or (e) any Content or other material You submit to or through the Service.

Cenemai reserves the right, at Your expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by You. In such case, You agree to cooperate with Cenemai's defence of that claim.

18.1 Governing Law. These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws applicable in the place where Cenemai is established, without regard to conflict-of-laws principles.

18.2 Forum. Subject to Section 18.3, the courts having jurisdiction over the place where Cenemai is established have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service, and You irrevocably attorn to that jurisdiction.

18.3 Informal Resolution. Before initiating any formal proceeding, You agree to contact Cenemai at support@cenemai.com and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.

18.4 No Class Actions. To the maximum extent permitted by applicable law, You and Cenemai agree that each may bring claims against the other only in Your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Cenemai may update these Terms from time to time. Where changes are material, Cenemai will provide at least thirty (30) days' notice by email to the address associated with Your Account, by prominent notice within the Service, or both. Non-material updates take effect on posting. The "Last updated" date at the top of these Terms will always reflect the latest version.

Your continued use of the Service after the effective date of any change constitutes Your acceptance of the amended Terms. If You do not agree to a change, You must stop using the Service and, if applicable, cancel Your Subscription before the change takes effect.

20.1 Entire Agreement. These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Copyright & Content Complaints Policy, and (where applicable) Creator Agreement, constitute the entire agreement between You and Cenemai concerning the Service and supersede all prior or contemporaneous communications, whether oral or written.

20.2 Severability. If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

20.3 No Waiver. The failure of Cenemai to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

20.4 Assignment. You may not assign or transfer these Terms or any rights or obligations under them without Cenemai's prior written consent. Cenemai may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

20.5 Notices. Cenemai may provide notices to You by email to the address associated with Your Account or by posting them within the Service. You may provide notices to Cenemai at support@cenemai.com.

20.6 Language. The parties confirm their express wish that these Terms and all related documents be drafted in English, and that translations, if any, are provided for convenience only; the English version controls.
